Terms of Service

These Terms of Service ("Terms") govern your access to and use of ClassLedger (the "Service"), a product operated by Bora Sinc, a sole proprietor doing business as "ClassLedger" ("ClassLedger," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Eligibility

The Service is intended for use by adult educators, tutors, and school administrators acting on behalf of themselves or an educational institution. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. The Service is not directed at children, and students do not create their own accounts.

2. Accounts

You're responsible for providing accurate registration information, keeping your password confidential, and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized use of your account.

3. Subscription Plans & Billing

ClassLedger's free Starter plan is available now. Paid Pro and Advanced plans are billed monthly or annually and sold through Polar Software Inc. ("Polar"), which acts as merchant of record for these transactions. Polar handles payment processing, receipts, and any applicable sales tax/VAT on the sale; we never see or store your full card details ourselves, only a Polar-issued customer identifier and your subscription status. We may change plan pricing going forward; we'll give you reasonable notice before a price change affects your subscription.

4. Acceptable Use

You agree not to: use the Service for any unlawful purpose; upload data you don't have the right or authorization to input (see Section 5 on student data); attempt to gain unauthorized access to the Service or other users' accounts; interfere with or disrupt the Service's operation; or reverse-engineer or resell the Service without our written permission.

5. Student Data

If you enter information about students into the Service, you — not ClassLedger — are the data controller for that information, and ClassLedger acts only as a data processor, processing it solely to provide the Service to you, as described in our Privacy Policy. This applies whether you registered as an institution/center or as an independent tutor/teacher: an institution is the controller for the students its educators enter, responsible for its own legal basis and any parental permissions required; an independent tutor is equally the controller for their own students, directly responsible for the same. You represent that you are authorized — by your institution (where applicable) and under applicable law (such as FERPA, where it applies) — to enter this information, and that you have any consents required to do so. You remain responsible for the accuracy and lawfulness of the student data you enter. ClassLedger provides technical measures — including mandatory client-side encryption of student names and self-service deletion tools — to support your own data-protection obligations, but these tools do not by themselves guarantee compliance with any particular law; that responsibility remains yours.

6. Your Content

You retain ownership of the data and content you input into the Service (including student records, assessments, and generated reports). You grant ClassLedger a limited license to host, process, and display that content solely as needed to operate the Service for you.

7. Intellectual Property & Brand Protection

7.1 Ownership of the ClassLedger Platform

ClassLedger™, the ClassLedger logo, and all associated trademarks, service marks, and brand identifiers are the exclusive property of ClassLedger. The ClassLedger platform, including the report layout, AI-assisted narrative engine, design system, user interface, and all underlying code, is proprietary to ClassLedger and protected by copyright law. These Terms don't grant you any rights to our trademarks, branding, or underlying software beyond what's needed to use the Service normally.

7.2 Reports You Generate

When you generate a progress report using ClassLedger, the report format, structure, and AI-assisted narrative components remain ClassLedger's intellectual property. You have the right to share reports you generate with parents, students, and administrators for ordinary educational purposes.

7.3 Prohibited Brand Usage

You agree not to:

7.4 Reporting a Violation

If you believe your intellectual property rights have been violated by ClassLedger or by a ClassLedger user, or you'd like to report suspected misuse of the ClassLedger name or brand, contact us at [email protected].

8. Termination

You may stop using the Service, cancel your subscription, and delete your own account at any time — account deletion is available directly from Settings once any active subscription is cancelled, and takes effect immediately and permanently. We may also suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk to the Service or other users. 9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, ClassLedger will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months before the claim arose.

11. Governing Law

These Terms are governed by and construed in accordance with the law of England, without regard to conflict-of-law principles, and the parties irrevocably agree that the English courts shall have exclusive jurisdiction over any claim or matter arising under or in connection with these Terms.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify registered users by email.
